Dubai is one of the easiest places in the world to run an international business, and one of the hardest to get paid from. Stripe is not openly available to companies licensed in the UAE, PayPal keeps its business accounts on a short leash, and a free zone licence does not open a US bank account. A US LLC owned from Dubai solves those three problems at once: your customers pay a US company, in dollars, through the payment tools they already trust, while you keep living and working in Dubai.
This page covers what a Dubai resident needs to know before opening one: who it is for, what it costs, how the UAE corporate tax and the US rules interact, how the bank account works, and the exact steps. If you live in Abu Dhabi, Sharjah or another emirate, the same rules apply and our guide for the UAE is written for you.
Who opens a US LLC from Dubai
Three profiles come back constantly. Freelancers and agencies on Dubai Media City, DMCC or IFZA licences who invoice clients in the US and Europe and lose days, fees and sometimes deals because their clients cannot pay by card. E-commerce and dropshipping sellers who need Shopify Payments, Stripe or a US Amazon seller account that a UAE entity cannot get without a fight. SaaS and app founders who need Stripe subscriptions, App Store and Google Play payouts and a company their investors recognise.
The common thread is simple: the revenue comes from outside the UAE, in dollars, and the Dubai licence was never designed to collect it. The LLC does not replace your local setup. It sits next to it.
What a US LLC costs from Dubai
With LLC Place, formation starts at 389 €, plus the state filing fee paid to the state itself: 100 $ in Wyoming, 50 $ in New Mexico. That price includes the Articles of Organization, the registered agent for the first year, the operating agreement, the EIN application and the US commercial address. There is no capital requirement, no office lease and no visa to buy, which is why founders who compare it with the yearly cost of a free zone licence usually keep both and let the LLC carry the international side.
Each year, the state expects an annual report, around 60 $ in Wyoming and nothing at all in New Mexico, and the IRS expects two information returns from every foreign-owned LLC, Form 5472 with a pro forma Form 1120. We prepare and file them for 150 € a year, or 398 € a year with a US tax expert, and both filings are already included in the Pro and Founder plans.
Wyoming or New Mexico when you live in Dubai
For an online business run from Dubai, the choice comes down to two states. Wyoming is the reference: no state income tax, strong privacy, a 60 $ annual report, and a name that banks and payment providers see every day. New Mexico costs less and asks for no annual report at all, which suits a founder who wants the lightest possible structure. Delaware only makes sense if you plan to raise money from US investors, and the extra franchise tax is not worth it for a service or e-commerce business.
The 9% UAE corporate tax and your US LLC
This is the question every Dubai founder asks first, so here is the straight answer. Since June 2023 the UAE applies a corporate tax of 9% on taxable profits above AED 375,000, published by the UAE Ministry of Finance. A company incorporated abroad can fall inside that regime when it is effectively managed and controlled from the UAE. If you run the LLC from your desk in Dubai, the Federal Tax Authority can treat it as a UAE resident company for corporate tax purposes.
In practice, that means three things. First, the US LLC is not a way to escape UAE corporate tax on income you earn from Dubai, and nobody serious should sell it to you as one. Second, the first AED 375,000 of profit stay at 0%, and small businesses under the Small Business Relief threshold can elect out of the tax entirely until the end of 2026. Third, your Dubai accountant needs to know the LLC exists so it can be included in your corporate tax registration if required. We give you the documents they will ask for.
What the US side asks of you
There is no income tax treaty between the United States and the UAE, and for most Dubai founders it does not matter. An LLC owned by a non-resident, with no office, no employees and no dependent agent in the United States, is generally not engaged in a US trade or business, so it owes 0% US federal income tax on its profits. The IRS describes the test on its own page about foreign persons and US trade or business.
What the IRS does require is transparency. Every LLC with a single foreign owner files Form 5472 and a pro forma Form 1120 each year, even with zero revenue, and the penalty for missing it starts at 25,000 $. It also expects you to keep the LLC's money separate from your personal money, which the bank account handles for you. Nothing in those filings sends money to the US; they are information returns.
Bank account, Stripe and PayPal from Dubai
The bank most of our Dubai clients use is Mercury, a US fintech built for non-resident founders. The application is online, and from the UAE it asks for your passport, your Emirates ID, a proof of address such as a DEWA bill or your Ejari contract, the LLC's formation documents and its EIN. Mercury does not accept every business type, gambling and crypto trading among the exclusions, and it looks closely at UAE applicants whose website does not exist yet, so we help you prepare the file before you apply.
Once the account is open, Stripe is activated on the LLC with its EIN and US address, without the invitation-only restrictions that apply to UAE-licensed companies. PayPal Business works the same way. Your customers see a US company on their statement, and you move the money to Dubai when you want, by wire or through a Wise business account attached to the LLC.
Do you need a UAE licence, a visa or a US visa
You need none of the three to own a US LLC. A UAE residence visa is not required, and neither is a trade licence: the LLC is a US company, formed under Wyoming or New Mexico law, and it does not care where its owner lives. A US visa is not required either, and the LLC gives you no right to live or work in the United States. The only documents we need from you are a passport and an address.
One nuance for people who hold a free zone licence with a visa attached: keep it. The free zone licence carries your residence, your Emirates ID and your local bank account. The LLC is for the international revenue. Closing the licence to save money usually costs more in lost residency than it saves.
How to open your US LLC from Dubai, step by step
- Choose the state, Wyoming or New Mexico for almost every online business run from Dubai.
- We file the formation with the state and apply for your EIN without an SSN, then send you the documents.
- Open your Mercury account and Stripe remotely, with the file we prepare with you.
- Stay compliant every year: annual report and IRS filings, prepared and filed for you.
The state filing takes one to three business days in Wyoming and New Mexico. The EIN follows, usually within five to twenty-one business days, and we track it until it lands. Most Dubai founders are invoicing from their LLC within a month.
Everything on that list is provided by LLC Place: the formation, the registered agent, the operating agreement, the EIN, the US commercial address and the bank and Stripe setup. The one thing you decide separately is who files the yearly IRS returns, our 150 € service, our 398 € service with a US tax expert, or your own accountant.
Form your US LLC with everything included from the first payment: formation, EIN, US commercial address, bank account and Stripe setup, and the yearly compliance handled for you.
Frequently asked questions
Do I have to fly to the United States to open the LLC?
No. Formation, the EIN, the bank account and Stripe are all handled online from Dubai. No appointment, no notary, no trip.
Can I invoice my UAE clients from the US LLC?
You can, but it is rarely the right tool. A UAE client paying a foreign company may have to self-account for 5% VAT under the reverse charge, and your local licence already covers that market. Use the LLC for foreign clients and the licence for local ones.
Will the LLC affect my UAE tax residency certificate?
No. Your personal tax residency in the UAE depends on your presence and ties in the country, not on where your companies are formed. Owning a US LLC does not create any US tax residency for you.
Can a Golden Visa holder or a Dubai employee open a US LLC?
Yes. The LLC does not look at your visa category. Employees should check their contract for non-compete or outside-work clauses, which is an employer matter, not a legal barrier.
Can my Dubai free zone company own the US LLC instead of me?
It can. The LLC is then owned by a foreign company rather than a person, which changes nothing for US tax, and the same Form 5472 applies. Some founders prefer it for group structure reasons; most keep personal ownership for simplicity and for the bank's KYC.
Does Mercury accept applicants living in Dubai?
Yes, the UAE is a supported country. Approval depends on the business, the website and the documents. A clear activity, a working website and matching addresses on your passport, Emirates ID and utility bill make the difference.
How is the LLC treated for UAE corporate tax if I manage it from Dubai?
It may be treated as a UAE resident company and its profits above AED 375,000 taxed at 9%. Below that threshold the rate is 0%, and Small Business Relief can apply until the end of 2026. Talk to your UAE accountant with the LLC documents in hand; we provide them.
How long does it take to open a US LLC from Dubai?
One to three business days for the state filing, five to twenty-one business days for the EIN, then a few days for the bank. Count three to four weeks from application to first invoice.
