1. Introduction

This Policy describes how LLC Place LLC (hereinafter "LLC Place", "we") collects, uses, shares and protects your personal data in connection with your use of our Service, in accordance with the General Data Protection Regulation (EU) 2016/679 (hereinafter "GDPR"), as well as applicable Wyoming and US federal laws.

We take your data seriously and apply the principles of minimization, purpose limitation, security and transparency. For any question regarding this Policy, contact us at contact@llcplace.app.

For users residing in the European Economic Area (EEA), a representative within the meaning of Article 27 GDPR may be appointed. Their contact details will be published here as soon as they become available.

3. Data Collected

We collect the following categories of data:

3.1. Data you provide directly

  • Identification: last name, first name, date of birth, nationality, copy of identity document.
  • Contact: email, phone number, postal address.
  • Company to be formed: corporate name, State of registration, business purpose, capital structure, beneficial owners.
  • Tax data: tax identification number (TIN, ITIN, EIN), proof of income where relevant.
  • Financial data: banking information necessary for account opening or payments (your full card number is never stored by us; it is processed by Stripe).

3.2. Data collected automatically

  • Technical data: IP address, session identifier, browser type, operating system, pages viewed, connection dates and durations.
  • Cookies and trackers: see section 10.

3.3. Data received from third parties

  • Statuses of your requests submitted to government bodies (IRS, Secretaries of State, FinCEN, partner banks).

4. Purposes and Legal Bases

Your data is processed for the following purposes:

  • Legal compliance (BOI Filing FinCEN, IRS, banking KYC): Legal obligation (Art. 6.1.c)
  • Billing, payment, collection: Performance of the contract / legal obligation
  • Customer support, incident resolution: Performance of the contract / legitimate interest
  • Improvement of the Service, anonymized audience measurement: Legitimate interest (Art. 6.1.f)
  • Commercial outreach by email: Consent (Art. 6.1.a), opt-out at any time
  • Prevention of fraud and money laundering: Legal obligation / legitimate interest

5. Recipients and Processors

Your data may be disclosed to the following categories of recipients, only to the extent strictly necessary for the purpose pursued:

  • Authorized personnel of LLC Place (legal, tax and support teams).
  • Technical processors: hosting provider, transactional email provider, payment platform (Stripe Inc.).
  • Banking partners: Mercury, Bank of America (depending on your choice).
  • Government bodies: IRS, FinCEN, Secretaries of State of Delaware, Wyoming, etc.
  • External advisors: attorneys, CPAs, subject to a confidentiality clause.
  • Public authorities: in the event of a legal obligation (judicial subpoena, tax audit).

All our processors are bound by a contract that complies with Article 28 GDPR and provide sufficient guarantees regarding security.

6. Transfers outside the European Union (United States)

As LLC Place is a US company and our services by their very nature concern the creation and management of US companies, your data is necessarily transferred to the United States.

These transfers are governed by:

  • the European Commission's standard contractual clauses (decision 2021/914), concluded with our US processors;
  • adherence, where possible, to the EU-US Data Privacy Framework;
  • the contractual necessity of transmitting certain data to US government bodies (IRS, FinCEN), in accordance with Article 49.1.b GDPR.

7. Retention Period

Your data is retained for the following periods:

  • Active account: throughout the duration of your contractual relationship with LLC Place.
  • After account closure: up to 10 years for accounting and tax records (IRS and US regulatory obligations).
  • KYC / anti-money laundering data: 5 years from the end of the relationship.
  • Technical logs: 12 months maximum.
  • Audience measurement cookies: see section 10.
  • Outreach: 3 years from the last contact.

8. Security

We implement appropriate technical and organizational measures:

  • encryption of data at rest (AES-256) and in transit (TLS 1.3);
  • application-level encryption of sensitive tax data with key rotation;
  • strict access control and logging;
  • regular backups and a business continuity plan;
  • periodic security testing.

In the event of a data breach likely to create a risk to your rights and freedoms, we will notify you under the conditions and within the timeframes set out in Article 34 GDPR.

9. Your Rights (GDPR)

In accordance with Articles 15 to 22 of the GDPR, you have the following rights over your data:

  • Right of access to your data.
  • Right to rectification of inaccurate data.
  • Right to erasure ("right to be forgotten"), within the limits of legal retention obligations.
  • Right to restriction of processing.
  • Right to object, in particular to profiling and outreach.
  • Right to portability of your data.
  • Right to withdraw your consent at any time, without retroactive effect.
  • Right to set instructions regarding the fate of your data after your death.
  • Right to lodge a complaint with a supervisory authority (in France: CNIL).

To exercise these rights, write to us at contact@llcplace.app, enclosing any documentation necessary to verify your identity. We undertake to respond within the one-month period provided for by the GDPR.

If you reside in California, you also benefit from the rights provided by the California Consumer Privacy Act (CCPA), in particular the right to require that your data not be sold ("Do Not Sell My Personal Information"). LLC Place does not sell your data.

10. Cookies and Trackers

The site uses the following categories of cookies:

  • Strictly necessary cookies: authentication session, security, cart, exempt from consent.
  • Audience measurement cookies (Matomo in anonymized mode, without required consent where applicable), otherwise with prior consent.
  • Third-party cookies necessary for the operation of Stripe for payment.

You may change your preferences at any time via the cookie banner at the bottom of the page or via your browser settings.

11. Minors

The Service is not intended for minors under 18 years of age. We do not knowingly collect data from minors. If you believe that a minor has provided us with data, contact us immediately at contact@llcplace.app so that we may delete it.

12. Changes

This Policy may be amended to reflect legal, technical or organizational developments. Any substantial change will be notified by email and/or through the Service at least thirty (30) days before it takes effect.

13. Governing Law (Wyoming)

This Policy is governed by the laws of the State of Wyoming, United States of America, subject to the mandatory provisions of the GDPR and the European national laws applicable to persons residing in the EEA.
