How to dissolve a Wyoming LLC: steps, fees and timeline

To close a Wyoming LLC, you file Articles of Dissolution with the Secretary of State: $60, sent by mail, processed within 15 business days. The state only accepts it from a company in good standing, and the IRS still expects a final return and a letter about your EIN. Follow the steps below in order and everything closes cleanly, even from abroad.

Wyoming is one of the easiest states to form an LLC in, and it is just as easy to leave, provided you do things in the right order. The owners who run into trouble are rarely the ones who filed the wrong form. They are the ones who stopped filing the annual report, assumed the company would quietly disappear, and found out years later that the IRS still expected a Form 5472.

This guide covers a Wyoming LLC owned by a single person living outside the United States, the most common case among our clients. It walks through the four places where your company exists: the Wyoming Secretary of State, the IRS, your registered agent and your bank. What dissolving a Wyoming LLC actually involves

Dissolution ends the company's legal existence in Wyoming. It is a state filing, handled by the Business Division of the Secretary of State, and on its own it changes nothing with the IRS. The federal side is closed separately, with a final return and a letter asking the IRS to deactivate the company's account.

A clean closure follows five steps, in this order: bring the company up to date with the state, wind up its affairs, file the Articles of Dissolution, file the final federal return, then close the EIN account and the accounts still open. Skipping the first step is the most common reason a dissolution gets rejected.

Step 1: make sure the company is in good standing

The Secretary of State only accepts Articles of Dissolution from a company that is active and in good standing. The state's own form lists it in its checklist. In Wyoming, good standing comes down to one thing: the annual report and its license tax.

The annual report is due every year on the first day of the month in which the company was formed. The license tax is $60 or two-tenths of a mill per dollar of the company's assets located in Wyoming, whichever is greater. For a company run from abroad with no assets in the state, that means $60.

If your annual report is due or already late, file and pay it first. A company more than 60 days late is administratively dissolved by the state, which is not the same as a voluntary dissolution. The company then has to go through reinstatement before it can be closed properly, and Wyoming only allows reinstatement within two years. An administrative dissolution does not close the IRS file

When Wyoming dissolves a company over an unpaid annual report, nobody tells the IRS. The Form 5472 obligation continues for every year the company had transactions with its owner, and the penalty for a missing form starts at $25,000. Letting the state dissolve the company for you is not the same as closing it.

Step 2: wind up the company's affairs

Before filing, settle what the company owes and collect what it is owed. Cancel the subscriptions billed to the company, finish or hand over client contracts, pay the last invoices, then move the remaining balance to your personal account as a final distribution. Keep a copy of everything: bank statements for the final year, the last invoices, and a short note recording your decision to dissolve.

That note matters more than it seems. For a single-member LLC, a one-page written consent signed by the member, stating the decision and its date, is the cleanest proof that the company was wound up on purpose. It is also what a bank or payment processor may ask for when you close the accounts.

Step 3: file the Articles of Dissolution

The form is called Limited Liability Company Articles of Dissolution and it is published by the Wyoming Secretary of State. It is short. You enter the company's exact name as it appears in the state's records, check the box certifying that the company has met the requirements for dissolution and winding up under Wyoming law, then sign and date it. The signature must come from a person authorized by the company, which for a single-member LLC is the member. An email address is required, since the state uses it to send the filing evidence.

The filing fee is $60, paid by check or money order made out to the Wyoming Secretary of State. The form is mailed to the Business Division at the Herschler Building East, Suite 101, 122 W 25th Street, Cheyenne, WY 82002-0020. The state specifies that it cannot be accepted by email, and processing takes up to 15 business days after it arrives.

For an owner abroad, the real obstacle is the payment rather than the form. Few people outside the United States can easily mail a US check or money order. Step 4: file the final federal return

A Wyoming LLC with a single foreign owner is a disregarded entity for income tax purposes, but it still files every year: a pro forma Form 1120 with Form 5472 attached, reporting the transactions between the company and its owner. The year the company closes is no exception. You file one last time for that year, by the usual deadline, and check the final return box on the Form 1120.

The state filing does not erase them, and a missing Form 5472 is far cheaper to fix before the IRS sends a penalty notice than after. Step 5: close the EIN account and the remaining accounts

The IRS never cancels an EIN. Once the final return is filed, you send a letter asking it to deactivate the company's account, with the company's legal name, EIN, address and the reason for closing, plus a copy of the EIN assignment notice if you still have it. Then close what still runs in the company's name: the business bank account once the last payments have cleared, the payment processor, the domain names and software billed to the company, and finally the registered agent. Keep the registered agent until the Articles of Dissolution are filed and you have the evidence in hand, since that is where official mail about the filing goes.

State fees are the smallest part of the bill. What makes a Wyoming dissolution expensive is whatever was left undone along the way: annual reports never filed and, above all, missing Form 5472 returns.

What happens if you just stop paying

Many owners assume an unused Wyoming LLC will simply fade away. At the state level it eventually does: 60 days after a missed annual report the company is administratively dissolved, and two years later it can no longer be reinstated. At the federal level nothing fades. The EIN account stays open, and every year with transactions between the company and its owner still calls for a Form 5472.
