Terms and Conditions of Use

1. Acceptance of the Terms

These Terms and Conditions of Use (hereinafter the "Terms") govern access to and use of the services offered by LLC Place LLC, a limited liability company organized under the laws of Wyoming, whose registered office is located at 30 N Gould St, STE R, Sheridan, WY 82801, USA (hereinafter "LLC Place", "we").

By creating an account, accessing or using the site, the application, or any of the services offered (hereinafter the "Service"), you acknowledge that you have read, understood and accepted these Terms without reservation.

If you do not accept these Terms, you must immediately stop using the Service.

2. Description of the service

LLC Place provides an online platform intended to facilitate the creation, registration, and administrative and tax management of American limited liability companies (Limited Liability Companies, or "LLC"), in particular in the States of Delaware and Wyoming.

The Service includes, without limitation:

  • the formation of the LLC with the chosen State;
  • obtaining the federal tax identification number (EIN);
  • the provision of a business address and a registered agent;
  • assistance with opening an American business bank account;
  • the preparation and filing of tax and compliance returns (Form 5472, 1120 pro forma, BOI Filing FinCEN, State Annual Report, etc.);
  • the issuance of official documents (ITIN, Certificate of Good Standing, apostille, etc.).

LLC Place is neither a law firm nor a licensed accounting firm. The Service does not constitute personalized legal or tax advice within the meaning of applicable laws. For any question requiring professional advice, you are invited to consult an attorney or a Certified Public Accountant (CPA) of your choice.

Status of the professionals involved: all attorneys, accountants, Certified Public Accountants (CPA) and other legal or tax professionals with whom LLC Place collaborates act as independent providers in private practice and not as employees, agents or representatives of LLC Place. Each professional acts under their own professional responsibility, holds their own professional liability insurance coverage, and remains subject to the ethical rules of the bar or jurisdiction in which they are registered. LLC Place limits itself to organizing the introduction and the administrative coordination of the engagements entrusted to these professionals.

3. User accounts

Use of the Service requires the creation of a personal and individual account. You undertake to provide accurate, complete and up-to-date information, and to update it without delay in the event of any change.

You are solely responsible for the confidentiality of your credentials and for any activity carried out from your account. You must notify us without delay of any unauthorized use of your account at contact@llcplace.app.

You must be at least 18 years of age and have the legal capacity required to enter into a contract in your jurisdiction of residence.

4. Fees, payment and subscription

The Service prices are indicated in euros (€) or in US dollars ($) on the Company formation page. Unless otherwise stated, they are exclusive of taxes (VAT and any other tax applicable according to your jurisdiction).

Payments are processed by our payment provider Stripe Inc. You acknowledge and agree that your payment data is processed in accordance with Stripe's privacy policy.

State fees (filing fees) charged by the American administrations (Wyoming Secretary of State, Delaware Division of Corporations, IRS, FinCEN, etc.) are re-invoiced at their actual cost and are not refundable once incurred.

Annual subscriptions renew automatically upon their expiration, unless cancelled at least thirty (30) days before the renewal date, via your dashboard or by email at contact@llcplace.app.

5. Intellectual property

All elements making up the Service (logos, trademarks, texts, images, illustrations, source code, database, document templates, etc.) are the exclusive property of LLC Place or its licensors and are protected by American and international intellectual property law.

LLC Place grants you a personal, non-exclusive, non-transferable and revocable license to use the Service for purposes strictly related to the management of your LLC. Any other use is prohibited without prior written authorization.

The documents generated for your account (articles, articles of organization, operating agreements, etc.) become your property upon full payment.

6. User conduct

You undertake not to:

  • use the Service for unlawful or fraudulent purposes, money laundering or the financing of terrorism;
  • provide false, misleading or impersonated information;
  • circumvent or attempt to circumvent the security measures of the Service;
  • copy, reproduce, modify, disassemble or decompile the Service or its code;
  • use the Service to create a competing or substantially similar service.

7. Third-party services (banks, IRS, FinCEN)

LLC Place acts as an intermediary and provider of administrative assistance with American administrations (IRS, FinCEN, Secretaries of State) and partner financial institutions (in particular Mercury, Bank of America). LLC Place exercises no control over the decisions of these third parties and cannot guarantee a result (acceptance of a bank account, IRS timeframes, etc.).

Any contractual relationships with these third parties bind you directly and are governed by their own terms and conditions.

8. Warranties and exclusions

The Service is provided "as is" ("as-is"), to the maximum extent permitted by applicable law. LLC Place expressly disclaims any implied warranty, in particular of merchantability, fitness for a particular purpose, or non-infringement of third-party rights.

LLC Place does not warrant that the Service will be uninterrupted, error-free, or secure in all circumstances, nor that administrative timeframes (IRS, State, banks) will match your expectations.

9. Limitation of liability

To the maximum extent permitted by applicable law, the total aggregate liability of LLC Place towards you under these Terms may not exceed the total amount you have paid to LLC Place during the twelve (12) months preceding the event giving rise to liability.

LLC Place may under no circumstances be held liable for indirect, incidental, special, consequential or punitive damages (loss of profits, loss of data, loss of revenue, harm to reputation, etc.), even if informed of their possible occurrence.

10. Indemnification

You undertake to indemnify and hold harmless LLC Place, its officers, employees, providers and partners, against any claim, loss, damage, cost or expense (including reasonable defense costs) resulting from (i) your breach of these Terms, (ii) your use of the Service or (iii) your violation of any right of a third party.

11. Suspension and termination

LLC Place reserves the right to suspend or terminate your account without notice in the event of a breach of these Terms, non-payment, suspicion of fraud, or for any reason making the continuation of the contractual relationship impossible or risky.

You may terminate your account at any time via your dashboard or by email. Termination does not give rise to any refund of fees already incurred, unless otherwise provided by law.

12. Modifications to the service

LLC Place may modify, suspend, or discontinue all or part of the Service at any time, with reasonable notice when such modifications substantially affect your rights.

These Terms may be modified. Any modification will be notified by email and/or via the Service at least thirty (30) days before it comes into force. Continued use of the Service after that date constitutes acceptance of the new Terms.

13. Governing law (Wyoming and EU)

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States of America, excluding its conflict-of-law rules, as the law of the registered office of LLC Place and of the jurisdiction of registration of the companies we form for our Clients.

If you reside in the European Union (EU) or in the European Economic Area (EEA) and you act as a consumer within the meaning of applicable law, European Union law and the mandatory provisions of the law of your country of residence apply on a cumulative basis. You benefit in particular from the protections provided by:

  • Regulation (EU) 2016/679 of 27 April 2016 (GDPR);
  • Directive 2011/83/EU on consumer rights (in particular the right of withdrawal, pre-contractual information, conformity);
  • Directive (EU) 2019/770 on contracts for the supply of digital content and services;
  • Regulation (EU) No 1215/2012 (Brussels I bis) regarding jurisdiction for consumers;
  • Regulation (EC) No 593/2008 (Rome I) regarding the law applicable to contractual obligations.

French law is not the law applicable to the contract: consumers residing in France nevertheless benefit, as EU members, from the mandatory provisions of European law and French consumer law where they are more protective than these Terms.

The United Nations Convention on Contracts for the International Sale of Goods (Vienna Convention) is expressly excluded.

14. Dispute resolution

Any dispute arising out of, or in connection with, these Terms or the Service shall first be submitted to an attempt at amicable resolution in good faith for thirty (30) days, by email at contact@llcplace.app.

For professional Clients (B2B): failing an amicable agreement, the dispute shall be finally settled by confidential arbitration in accordance with the rules of the American Arbitration Association (AAA), conducted in the English language, by a single arbitrator sitting in Cheyenne, Wyoming. The award rendered shall be final and enforceable.

For consumers residing in the EU/EEA: you may, at your choice, (i) bring proceedings before the courts of your place of residence in accordance with the Brussels I bis Regulation, or (ii) use the European online dispute resolution platform (ODR) accessible at ec.europa.eu/consumers/odr, or (iii) refer the matter to a competent consumer mediator in your country of residence.

No clause of these Terms may deprive the EU/EEA consumer of access to a competent court within the meaning of European law.

15. Force majeure

LLC Place may not be held liable for any failure to meet its obligations resulting from an event of force majeure, including without limitation natural disasters, wars, acts of terrorism, pandemics, failures of public infrastructure (Internet, electricity), strikes, prolonged administrative closures, or significant slowdowns of the IRS or the Secretaries of State.

16. Miscellaneous provisions

If any of the provisions of these Terms is held invalid or unenforceable by a competent court, the other provisions retain their full force.

The fact that LLC Place does not require strict application of a provision does not constitute a waiver of the right to rely on it subsequently.

These Terms, together with the privacy policy, constitute the entirety of the agreement between you and LLC Place and supersede any prior agreement on the same subject matter.
