US LLC or Estonian e-Residency: which one for an online business?
Estonia appeals with no tax on reinvested profit and an EU VAT number. The US **LLC** appeals with pass-through taxation and access to dollar payments. The right answer depends mostly on where your clients are.
8 min readThe two options look alike on the surface. Both are set up remotely, both address entrepreneurs without territorial ties, and both promise light digital administration.
They diverge on one decisive point, the invoice. One issues a European invoice with a VAT number, the other a US invoice in dollars. Your clients decide for you.
What e-Residency actually is
E-Residency is a digital identity issued by Estonia. It lets you create and run an Estonian company remotely, sign electronically and use online public services. It grants no right of residence, no tax residence and no automatic bank account.
The company created is the equivalent of a limited liability company. It is the company, not e-Residency, that carries the business.
Estonian tax, deferred but real
Reinvested profit is not taxed. Tax hits distribution, at a rate that has been raised in recent years and sits at around twenty percent of the amount distributed. A company that accumulates its results pays nothing, a company that pays its founder pays at every withdrawal.
Then comes the question of effective management. An Estonian company steered from another country may be treated as tax resident there, which cancels the point of the arrangement. The risk exists for the US LLC too, but Estonia belongs to the European Union, where authorities exchange more information.
If your clients are European businesses that want an invoice with an intra-EU VAT number, Estonia simplifies everything. If your clients pay in dollars, by card or through US platforms, the LLC is more direct.
VAT, the Estonian advantage
An Estonian company obtains an EU VAT number and invoices its business clients in the Union under the reverse charge. For a consultant working with German, French or Spanish companies, that removes daily accounting friction.
A US company invoices without tax, which suits clients outside the Union and platforms, but sometimes obliges the European client to self-assess tax on a foreign supplier. The difference between the two regimes is detailed in our article on sales tax and VAT.
Payments, the American advantage
The US ecosystem remains the widest: Stripe, the marketplaces, the ad networks and the suppliers who invoice in dollars. An online seller finds everything needed there, as our article on selling on Shopify shows.
On the Estonian side, opening a bank account remains the weak point. Local banks ask for a genuine link with the country, and many e-residents fall back on payment institutions, with the limits that implies.
Cost and timing
E-Residency involves an application fee, collecting the card at an embassy, therefore a trip, then a mandatory local provider for the company's address and contact person. The whole thing renews every year.
An LLC is set up without travel, and its yearly upkeep is limited to the state report and the federal filing described in our article on Form 5472.
Neither one exempts you from declaring your income where you live. The choice is about the invoicing and collection tool, never about making personal tax disappear.
How to decide
European business clients and a need for a VAT number, Estonia. International clients, card payments, US platforms and a wish to reinvest without a local structure, the LLC. Mixed activity, look at where the majority of revenue comes from, and avoid maintaining two companies for the same client base.
One last marker: if you have to explain your setup to every new client, it is too complicated for your business.
How LLC Place handles it
We set up the LLC, obtain the EIN, provide the business address and support you toward a US bank account, with no travel and no local provider to renew each year.
We then track your deadlines, the federal filing as well as the state report, so the company stays in good standing without you having to watch an American calendar.
Frequently asked questions
Does e-Residency give the right to live in Estonia?
No. It is a digital identity meant to run a company remotely, with no effect on residence or tax residence.
Can I move from an Estonian company to an LLC?
There is no direct transfer. You set up the new structure, move contracts and payments across, then close the old one properly, as described in our article on closing a US LLC.
Can an LLC invoice European clients?
Yes, without difficulty. The invoice is issued tax free by a foreign company, and the business client applies the rules of their own country.
