How long does it take to form a US LLC? Real timelines, step by step

Step 1: your input, ten minutes
Everything starts with the LLC Place questionnaire: desired name, state, activity, members, passport. We check the name's availability and the consistency of the information right away, then you sign once. There is no American form to fill in on your side, no Articles of Organization, no SS-4 for the EIN: that is exactly what you hand over to us.

Step 2: the state filing, from a few days to two weeks
Once your file is validated, we file the Articles of Organization with the Secretary of State of the chosen state. The timeline depends entirely on the state. Wyoming, which we recommend to most of our clients, processes online filings within a few business days. New Mexico is in the same range. Delaware is slower on the standard track and offers paid expedited processing. Large states such as California or New York can take several weeks in busy periods.

These are the timelines observed outside seasonal peaks; they sometimes stretch in January, when administrations receive every renewal at once. Step 3: the EIN, the step nobody controls
The EIN is your LLC's federal tax number, required to open a bank account, activate Stripe or sell on Amazon. A US resident gets it online in ten minutes thanks to their Social Security number. Without an SSN, the application goes through Form SS-4 sent to the IRS by fax or mail, and that is where most of the waiting happens.
By fax, the IRS usually answers within one to three weeks. By mail, count four to eight weeks. During tax season, from January to April, those timelines stretch. An SS-4 with a mistake on the responsible party or the address is rejected without anyone telling you, and the clock starts again from zero. Nobody can speed up the IRS. An offer that promises a guaranteed EIN in 48 hours without an SSN or ITIN is selling either hot air or an application made in the name of an American third party, which creates a lasting tax problem. Step 4: bank account and Stripe, a few days
With the Articles of Organization and the EIN letter, the banking file is complete. Mercury usually answers within a few business days, sometimes faster, and you receive your American bank details right after approval. Wise Business moves at a comparable pace. Stripe activates as soon as the EIN and the bank account exist, and the first payments follow. All in all, the usual scenario lands between three and six weeks, with the EIN accounting for most of the wait. The fast scenario, when the IRS answers within days, fits in two weeks. The slow scenario, in the middle of tax season, can reach two months: that is not an anomaly, it is the pace of the IRS, and it is the same whoever forms the company.
What costs weeks, and what we avoid
A name refused by the state because it is already taken or contains a restricted word. A personal address abroad declared as the company's seat, which banks reject. An SS-4 sent before the state's confirmation, therefore rejected. An EIN letter awaited by postal mail abroad, when the fax brings it back in a day. An incomplete banking file that triggers three rounds of emails. Each of those mistakes costs one to four weeks. Afterwards: the yearly deadlines not to miss
Once the LLC exists, two appointments come back every year: the state annual report, on the anniversary of the formation in Wyoming, and the federal filing, Forms 5472 and 1120, expected by the IRS in the spring. Frequently asked questions
Can the EIN be obtained faster?
Only by holding an SSN or an ITIN, which unlock the immediate online application. Otherwise the fax is the fastest route and it is the one we use, with a check of the form before sending and a follow up if the IRS is late.
Can I invoice clients before I have the EIN?
You can issue an invoice in the LLC's name as soon as the state has confirmed its formation. Collecting on an American account or through Stripe, however, requires the EIN, since the bank and Stripe demand it.
What happens if the IRS does not answer?
We follow up with the IRS through the line dedicated to foreign businesses and resend the SS-4 if needed. In practice, a correct file always goes through; it is the flawed ones that stay unanswered.
Is it slower from Morocco, Algeria or Switzerland?
No. The route is the same whatever your country of residence: the state, then the IRS, then the bank. Only the delivery of the physical bank card depends on your country's postal service.
